Terms of Use

Unrestricted access to the Klüber Lubrication online shop requires prior registration of a user account by the customer. These Terms of Use govern the rules for registration, access, and use of the online shop and are to be read in conjunction with the General Terms and Conditions of Sale and Delivery,  the latter applying to the sales contracts (if any) resulting from orders placed through the online shop. 

1. Scope 

  1. These Terms of Use apply to the use of the B2B online shop (https://shop.klueber.be/en/) by registered business customers of Klüber Lubrication Benelux SA and/or Klüber Lubrication Belgium Netherlands SA (hereinafter “Klüber Lubrication”).
    “Customer” means the registered business client of Klüber Lubrication acting in the course of its commercial or independent professional activity, who is responsible for all activities conducted through its user accounts.
    “User” means any individual authorized by the Customer to interact with the Online Shop’s user interface, submits orders, manages account information, or otherwise utilizes the functionalities provided by the platform on behalf of the Custo
  2. Use of the online shop is strictly limited to business entities (natural or legal persons, or partnerships with legal capacity) acting in the course of their commercial or independent professional activity. Use by consumers as defined under Article I.1, 2° of the Belgian Code of Economic Law is expressly excluded. The online shop is not intended for end consumers or private use.
  3. If the Customer does not agree to the Terms of Use for setting up a User account, Klüber Lubrication may deny the Customer access to the online shop.


2. User Management 

  1. The Customer is solely responsible for creating, maintaining, and deleting User accounts within their organization. Only authorized employees may be granted access; roles and permissions must reflect actual responsibilities.
  2. The Customer independently decides on the assignment of application permissions. Roles and permissions can be assigned individually (e.g., Admin, Buyer, Viewer).  Klüber Lubrication cannot modify these permissions.  Klüber Lubrication offers technical functionalities but does not control the content of assigned permissions.
  3. Only business email addresses clearly linked to the company may be used for user management.  Access to the Online shop is restricted to Users with company-specific email domains (e.g., *@company.be). Klüber Lubrication reserves the right to reject or block registrations using generic or private domains (e.g., @gmail.com, @outlook.be).
  4. Orders can only be processed if the Customer is registered on the Online shop. For the first order, the Customer must provide a username and password. Klüber Lubrication’s system ensures that a username and password cannot be assigned to multiple customers.
  5. The Customer must regularly update passwords and enable two-factor authentication where available.  Suspected unauthorized access must be reported to the provider immediately.  
  6. All webshop activities are logged and can be provided to the Customer upon request. 


3. GDPR Notice 

  1. Personal data is processed in accordance with the EU General Data Protection Regulation (GDPR) and Belgian data protection law.  
  2. The Customer must inform Users about data processing.  Klüber Lubrication processes data solely to fulfil contracts and deliver or improve the Online shop functionalities.  A Privacy statement is available at any time via the website footer.  
  3. Only necessary personal data may be collected and must be regularly reviewed or deleted. 


4. Conclusion of Contract

  1. The presentation of products and deliveries on our Online shop does not constitute an offer for a purchase contract by Klüber Lubrication.
  2. The User submits an order request on behalf of the Customer by entering all required information during the ordering process and sending the order form to Klüber Lubrication via the “Place Order” button. Before submitting the order request, the Customer can review the information entered and correct any errors.
  3. Upon receipt of the Customer’s order request, Klüber Lubrication sends an email confirming receipt of the order request and listing the order details (order request receipt confirmation). This order request receipt confirmation does not constitute acceptance of the Customer’s order but serves for informational purposes only.
  4. Klüber Lubrication is only bound and an agreement is only established as provided in article 2 of the General Terms and Conditions of Sale and Delivery, which are available in the website footer and apply to all sales contracts.
  5. Klüber Lubrication reserves the right to reject an order request without stating reasons. 


5. Permitted Use 

Users agree to use the Online shop only as intended and not to upload or transmit any unlawful content. 


6. Customer Obligations 

  1. Customer must ensure confidentiality of login credentials and not share login credentials with third parties outside the organization.  
  2. Suspected misuse must be reported immediately. 


7. Klüber Lubrication’s Rights 

  1. Klüber Lubrication may block or delete User accounts in case of violations of these Terms of Use.  
  2. Klüber Lubrication reserves the right to amend these Terms of Use at any time.  Continued use of the Online shop after changes are communicated constitutes acceptance of the amended terms. 


8. Liability 

  1. Klüber Lubrication is liable only for damages caused by intentional or grossly negligent conduct, in accordance with applicable Belgian law.  
  2. No liability is accepted for indirect damages, lost profits, or data loss unless legally required.  
  3. The Customer is liable for all activities conducted through their User accounts.  Klüber Lubrication accepts no liability for damages or misuse resulting from unauthorized or non-identifiable domains.
  4. The Customer indemnifies Klüber Lubrication against third-party claims arising from misuse of non-company-specific domains or faulty user management.
  5. Klüber Lubrication strives for high availability but does not guarantee uninterrupted use of the Online shop. Maintenance and updates will be announced as early as possible.


9. Violations of Terms of Use 

  1. In the event of a violation, Klüber Lubrication may take one or more of the following measures: issue a warning, temporarily suspend access, permanently suspend or delete User accounts.
  2. Examples of violations include misuse of User rights, providing false registration information, or breaches of security or data protection rules.  
  3. Klüber Lubrication may take legal action in case of serious violations. 


10. Communication 

Communication occurs either within the platform via data entered into the Online shop or through electronic transmission (e.g., email) to the recipient’s communication system. 


11. Confidentiality 

Both parties agree to treat all confidential information, technical, commercial, or organizational, discovered during Online shop use as confidential for the duration of the business relationship and use it only for contractually agreed purposes. Any separately agreed confidentiality agreements take precedence. 


12. Data Backup and Retention 

The Customer is responsible for retaining data to meet legal obligations and must ensure adequate and state-of-the-art data backup outside the Online shop. 


13. Intellectual Property

All content, trademarks, and data on the Online shop, including but not limited to software, databases, text, graphics, icons, and images, are the property of Klüber Lubrication or its licensors and are protected by applicable intellectual property laws. No part of the Online shop may be reproduced or used without express written permission of Klüber Lubrication.


14. Jurisdiction and Applicable Law 

  1. These Terms of Use shall be exclusively governed by Belgian law, excluding the United Nations Convention on Contracts for the International Sale of Goods.  
  2. The courts of Hainaut, division Tournai shall have exclusive jurisdiction for any disputes arising from or in connection with these Terms of Use. 


15. Severability Clause 

If any provision of these Terms of Use is or becomes invalid, the validity of the remaining provisions remains unaffected.
